These Terms of Service (the Terms) are an agreement between you and Terrawagen LLC (Terrawagen, we, us, or our). They govern your access to and use of terrawagen.com (the Site) and any related website features, customer accounts, support, products, installation work, and other services that we provide (collectively, the Services).
When we present these Terms or a conspicuous link to them with an action, you agree to the Terms by clicking an acceptance control or by taking that action, such as placing an order, creating or using an account, authorizing installation or other services, or submitting content for public display. If you do not agree, do not take that action or use the applicable Service. Simply viewing a Site page does not by itself mean that you accepted terms governing a purchase or paid service, but all Site use remains subject to applicable law and the acceptable-use rules below. If you use the Services for a company or other organization, you represent that you have authority to bind that organization to these Terms.
Our Refund Policy and Shipping Policy also apply. Our Privacy Policy describes our personal-information practices and is a notice rather than part of this contract, except where applicable law provides otherwise. A product listing, quote, work order, wholesale agreement, or other written terms may include additional conditions. If terms conflict, the more specific terms control for that product, order, or service, and a separately signed agreement controls over these Terms.
1. Eligibility and customer accounts
You must be at least 18 years old and legally able to enter into a contract to place an order or create an account. You agree to provide accurate, current, and complete information and to keep it updated.
The Services are intended for a general audience and are not directed to children under 13. We do not knowingly ask children under 13 to create an account or place an order.
You are responsible for protecting your account credentials and for activity that you authorize through your account. Please notify us promptly at info@terrawagen.com if you believe your account has been accessed without permission. We may require reasonable verification before changing account information or discussing an order.
We may suspend or restrict an account when reasonably necessary to protect customers, prevent fraud or misuse, comply with law, or enforce these Terms. You may stop using your account at any time.
2. Retail, wholesale, and dealer purchases
The Site serves both retail customers and approved wholesale customers. Wholesale access, pricing, discounts, minimums, resale rules, and payment terms may be subject to a separate wholesale or dealer agreement. Approval of an account does not guarantee continued wholesale eligibility. If a separate wholesale or dealer agreement conflicts with these Terms, that agreement controls for wholesale transactions.
Products purchased from an independent dealer, installer, distributor, or other third party are sold under that seller's terms. Questions about those purchases, including returns, should be directed to the seller, although we may assist with product information when we can. This does not eliminate any applicable Terrawagen written product warranty or any statutory remedy that cannot lawfully be waived.
3. Product information and vehicle fitment
We work to present accurate product descriptions, images, dimensions, compatibility information, availability, and pricing. Colors and appearance may vary by screen, lighting, manufacturing batch, or normal material variation. Packaging and non-material product details may change over time.
Vehicle compatibility can depend on details such as model year, chassis or platform, wheelbase, roof height, trim, drivetrain, factory options, prior repairs, and aftermarket modifications. Before ordering or installing a vehicle-specific product, review the complete product listing and installation instructions and confirm that the selected product and variant match your vehicle. If you are unsure, contact us before purchase with the relevant vehicle details.
General fitment guidance and other Site content do not replace product-specific installation instructions, inspection of the actual vehicle, or the judgment of a qualified installer. Follow all instructions and warnings, use appropriate tools and safety equipment, and obtain professional installation when a product or your experience level calls for it. You are responsible for using products lawfully and for confirming any registration, inspection, road-use, or other local requirements.
References to vehicle manufacturers, models, and trademarks identify compatibility or intended use. They do not imply sponsorship, endorsement, or affiliation unless we expressly say otherwise.
4. Orders and acceptance
Your order is an offer to purchase the products or services shown in the order. An automated order confirmation acknowledges that we received your order; it does not necessarily mean that we accepted it. We may accept an order by sending a shipment confirmation, beginning authorized custom or installation work, or otherwise expressly confirming acceptance.
Before acceptance, we may decline or cancel an order for a lawful reason, including unavailable inventory, an obvious pricing or description error, suspected fraud or unauthorized payment, purchase limits, shipping restrictions, or legal requirements. If we cancel after payment has been collected, we will refund all amounts paid for the canceled order—or for the canceled item and its associated charges—to the original payment method. We may contact you for additional information needed to review or fulfill an order.
Unless we approve wholesale or resale purchasing, we may limit quantities that appear inconsistent with ordinary personal or business use. Approved wholesale customers remain subject to any separate wholesale terms.
5. Prices, payment, taxes, and discounts
Prices may change before you place an order. The amount shown at checkout includes the products in your order and any shipping charges, taxes, duties, discounts, or other charges presented before you submit the order. You are responsible for reviewing the order total and selected currency before purchase.
You represent that you are authorized to use the payment method you provide and authorize us and our payment providers to charge the amounts shown at checkout. Payment services may be provided by Shopify or other payment providers under their own terms and privacy notices.
Promotional codes, limited-time discounts, and special offers are subject to the conditions stated with the offer. Promotional codes and discounts have no cash value, may not be combined unless stated otherwise, and may be changed or withdrawn before an order is placed, subject to applicable law. This paragraph does not apply to gift cards or refundable store credit.
If we discover an obvious pricing or calculation error before accepting an order, we may contact you to confirm the corrected price or cancel the affected item or order and refund all associated amounts paid, as permitted by law.
6. Shipping and delivery
Our Shipping Policy explains processing times, carriers, shipping charges, international shipments, tracking, oversized shipments, incorrect addresses, and how to report missing or damaged packages. The Shipping Policy in effect when you order forms part of these Terms.
Shipping and delivery dates are estimates unless we expressly state otherwise. If we cannot ship within the time stated or within the period required by applicable law, we will provide any notice, cancellation option, or refund required by law.
You are responsible for providing a complete and accurate delivery address and for promptly reviewing order and tracking information. International availability, duties, taxes, customs processing, and delivery options are shown or described at checkout or in the Shipping Policy. Nothing in these Terms limits rights you may have for delayed, lost, damaged, or misdelivered goods under applicable law.
7. Returns, exchanges, and refunds
Our Refund Policy explains eligibility, excluded items, return authorization, shipping costs, inspection, restocking fees, exchanges, and refund timing. The Refund Policy in effect when you order forms part of these Terms.
Only purchases made directly from Terrawagen are eligible for return to us unless we agree otherwise. Purchases from an independent dealer or retailer are governed by that seller's return policy.
Nothing in these Terms or the Refund Policy limits a refund, cancellation, warranty, or other consumer right that cannot lawfully be waived. If mandatory law in your place of residence gives you additional rights, those rights continue to apply.
Any return-shipping charge, restocking fee, or final-sale exclusion in the Refund Policy applies only to a discretionary return and only to the extent permitted by law. It does not apply when applicable law requires a no-cost remedy for a product that is defective, damaged, incorrect, or otherwise does not conform to the contract. Describing an item as “Scratch & Dent,” “Final Sale,” “as is,” or similar does not waive a warranty or remedy unless the disclosure is made before purchase and applicable law permits the waiver.
8. Installation and other services
Installation, consultation, and other in-person or project services may require a quote, appointment confirmation, estimate, work authorization, or work order. Those documents may describe the scope, price, schedule, customer-supplied parts, vehicle condition, and other project-specific terms. The project-specific written terms control if they conflict with these Terms.
You agree to provide accurate information about the vehicle, including known damage, modifications, prior work, warning lights, and conditions that may affect the requested service. We will seek your authorization before materially expanding the approved scope. We may pause work if we discover a condition that creates a safety concern or materially changes the requested service.
9. Customer submissions, photos, videos, and reviews
You may send us messages, reviews, photos, videos, links, captions, project information, or other material (collectively, Customer Content).
Content submitted for private order support, fitment help, a product question, or service assessment will be used to handle your request and for related business records as described in our Privacy Policy. We will not use private support content in a public gallery or marketing merely because you sent it for support. Public or promotional use requires a separate indication from you, such as intentionally choosing a customer-gallery submission option or otherwise giving permission.
You keep ownership of your Customer Content. When you intentionally submit content through a customer-gallery option, you grant Terrawagen a non-exclusive, worldwide, royalty-free license to host, reproduce, resize, crop, format, publish, and display that content and any caption you provide in Terrawagen's customer gallery. We may allow service providers acting for us to exercise this license only as needed to operate the gallery. Additional advertising or promotional use outside the gallery requires your separate permission.
When you intentionally post a review, you grant Terrawagen and the review service provider a non-exclusive, worldwide, royalty-free license to host, reproduce, format, publish, and display the review through the Site's review features and related product pages. We will not materially alter the meaning of a review. Unless we separately agree otherwise, Customer Content is submitted without compensation or an obligation to publish it. You may ask us to stop future display of customer-gallery content by emailing info@terrawagen.com, and we will make reasonable efforts to remove it from the gallery.
You represent that you own the Customer Content or have all permissions needed to submit it and grant the applicable license. You must have permission from identifiable people shown or heard in content and must not submit confidential information, personal information about another person without permission, or content that is unlawful, deceptive, defamatory, threatening, obscene, infringing, or harmful.
These Terms do not restrict your right to leave an honest review, and they do not transfer ownership of your review to us. Reviews must reflect genuine experiences and must not be fake or misleading. If you received an incentive or have another material connection relevant to a review, you must disclose it clearly. We may moderate or remove Customer Content that violates these Terms, infringes rights, creates a safety or security risk, or must be removed by law, but we are not obligated to monitor all Customer Content. We do not remove or suppress genuine reviews solely because they are negative.
If you send an idea or suggestion outside a review or customer-gallery submission, you agree that we may consider and use that feedback without confidentiality or compensation obligations unless we agreed otherwise in writing before you sent it.
10. Terrawagen content and intellectual property
The Site and its content—including text, product photography, graphics, logos, designs, videos, software, and the selection and arrangement of that content—are owned by Terrawagen or its licensors and are protected by intellectual-property laws. Subject to these Terms, we give you a limited, revocable, non-transferable right to access and use the Site for lawful personal use or for authorized business purchasing.
You may not copy, reproduce, modify, distribute, sell, license, publicly display, or create derivative works from Site content without permission, except as allowed by law. You may not remove rights notices or use Terrawagen names, logos, or product imagery in a way that falsely suggests endorsement or affiliation.
If you believe material on the Site infringes your copyright or other rights, contact info@terrawagen.com and identify the work, the material at issue, its location, your contact information, and the basis for your claim.
11. Acceptable use
You may not use the Services to:
- violate law or the rights of another person;
- commit fraud, submit false information, impersonate another person, or use a payment method without authorization;
- upload malware or interfere with the operation, security, or availability of the Services;
- probe, bypass, or defeat access controls, purchase limits, or security measures;
- access another person's account or collect personal information without authorization;
- harass, threaten, discriminate against, or harm another person;
- infringe intellectual-property, privacy, publicity, or other rights;
- send spam or use the Services for deceptive commercial activity; or
- use automated means in a way that places an unreasonable load on the Site, disrupts the Services, circumvents access controls, or copies protected content at scale, except for ordinary public search indexing or as otherwise permitted by law or by us in writing.
12. Third-party services and links
The Services use or link to third-party services, including Shopify, payment providers, shipping carriers, review or notification tools, social platforms, and shared-media services. A third party's terms and privacy notice govern its service. We are not responsible for an independent third party's website, content, security, availability, or conduct, but this does not limit any responsibility that Terrawagen has under applicable law.
Dealer and installer listings are provided as a convenience. Unless we expressly state otherwise, listed businesses are independent, and their inventory, pricing, services, advice, and transactions are their own responsibility.
13. Privacy and communications
Our Privacy Policy describes how we collect, use, disclose, and protect personal information and explains applicable privacy choices and rights.
We may send service-related communications about your account, orders, support requests, returns, appointments, or changes that affect the Services. Marketing messages and email or SMS back-in-stock alerts are subject to the consent and opt-out information presented when you sign up. Back-in-stock alerts do not reserve inventory or guarantee that a product will remain available.
14. Site availability and changes to the Services
We may maintain, update, change, suspend, or discontinue a Site feature or product offering. We do not promise that every feature or item will always be available. Changes do not affect rights or obligations already attached to an accepted order unless you agree or the law permits the change.
We may correct typographical, technical, or content errors. When a correction materially affects an order, we will provide notice and any choice or remedy required by law.
15. Disclaimers and warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SITE, GENERAL SITE CONTENT, AND FREE ONLINE FEATURES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” WE DO NOT WARRANT THAT THE SITE WILL ALWAYS BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
This Site disclaimer does not replace or limit the description of a product you purchased, an express written warranty, a commitment in an accepted order or service agreement, or any implied warranty or statutory right that cannot lawfully be disclaimed or limited.
Complete terms of any written warranty we offer for a product will be made available for review before purchase on or through a clearly identified link near the product listing. When applicable law requires us to make another manufacturer's written warranty available before sale, we will do so. A copy may also be included in the product packaging. Warranty rights vary by product and jurisdiction. Contact us before purchase if you need help locating an applicable warranty.
16. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TERRAWAGEN AND ITS MEMBERS, MANAGERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO THE SERVICES, EVEN IF ADVISED THAT SUCH DAMAGES WERE POSSIBLE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TERRAWAGEN'S TOTAL LIABILITY FOR A CLAIM ARISING FROM A PRODUCT, ORDER, OR PAID SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID TO TERRAWAGEN FOR THE PRODUCT, ORDER, OR SERVICE GIVING RISE TO THE CLAIM.
These limitations do not apply where liability cannot lawfully be excluded or limited, including liability for fraud, willful misconduct, or gross negligence, and liability for death, personal injury, or physical property damage to the extent applicable law does not permit its exclusion or limitation. These limitations also do not reduce a remedy expressly provided in an applicable written warranty. Some jurisdictions do not allow certain exclusions or limitations, so all or part of this section may not apply to you.
17. Business use and indemnification
If you use the Services on behalf of a business, then, to the extent permitted by law, that business will defend and indemnify Terrawagen against a third-party claim resulting from the business's unlawful use of the Services, material breach of these Terms, or Customer Content that infringes the third party's rights. This obligation does not apply to the extent a claim was caused by Terrawagen's negligence, willful misconduct, or breach of these Terms.
18. Suspension and termination
We may suspend or terminate access to the Services if you materially or repeatedly violate these Terms, create a safety or security risk, engage in fraud or unlawful conduct, or if suspension or termination is required by law. When reasonable, we will provide notice and an opportunity to address the issue. Terms that by their nature should continue after termination—including payment obligations, intellectual-property provisions, licenses already granted, disclaimers, liability limits, and dispute provisions—will survive.
19. Governing law and disputes
These Terms are governed by the laws of the State of Oregon, without regard to conflict-of-law rules. Subject to any mandatory forum under applicable law, the state and federal courts located in Multnomah County, Oregon, have non-exclusive jurisdiction over disputes arising from these Terms, and each party consents to those courts' jurisdiction.
If you are a consumer, this section does not deprive you of mandatory protections provided by the law of your state, province, or country of residence, or of the right to bring a claim in another forum when applicable law gives you that right.
Before filing a lawsuit, we encourage you to contact us at info@terrawagen.com so that we can try to resolve the concern informally. This does not prevent either party from seeking urgent relief or affect a legal filing deadline.
20. Changes to these Terms
We may update these Terms to reflect changes in the Services, our practices, or the law. We will post the revised Terms and change the “Effective and last updated” date. If a change materially reduces your rights or increases your obligations, we will provide reasonable additional notice, such as an email or account notice, and obtain renewed agreement when required by law. Changes apply prospectively from their stated effective date. The Terms in effect when we accepted an order generally continue to govern that order unless you agree otherwise or applicable law requires a different result.
21. General terms
If a provision of these Terms is found unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions will continue in effect. A failure to enforce a provision is not a waiver. Section headings are for convenience only.
These Terms, together with the Refund Policy, Shipping Policy, and specific written terms incorporated above, are the entire agreement between you and Terrawagen concerning the Services covered by them. They do not replace a separate signed agreement.
